The Lawsuit alleged that the Defendants failed to (1) meet California’s minimum staffing requirements, and (2) employ an adequate number of qualified nursing personnel at the Facilities during the above times. Defendants deny these allegations. After multiple mediation sessions before a retired California judge, the parties have agreed to settle the Lawsuit. The Court has preliminarily approved the settlement.

The Settlement Class is defined as follows:

• The “Resident Class” consists of all persons who resided at one or more of the Defendant Facilities and received skilled nursing services at any time during the Settlement Class Period.
   
• The “Private Pay Sub Class” consists of all persons who are members of the Resident Class and who made payments to the Settling Defendants or any of them, through private pay funds and/or privately-acquired insurance.

The Settlement applies to successors, heirs or representatives of Facility Resident Class Members. The Settlement Class Period is November 12, 2006 through and including August 29, 2011.
